• Tiered pricing incentives apply based on order volume for each purchase

• Strict enforcement of price discipline to prevent destructive competition and channel conflicts

Retail prices shall reference the Brand’s Recommended Retail Prices (RRP) for the European and U.S. markets.
Distributors shall not sell below the recommended retail price.
The Brand reserves the right to monitor market pricing practices;
where unauthorized price reductions cause damage to other distributors or the Brand, the Brand reserves the right to pursue responsibility in accordance with applicable laws.

A3. Ordering Thresholds & Cooperation Preconditions

To ensure operational efficiency and resource alignment:

• Different product lines may be subject to different minimum order quantities and ordering rules

• Ordering thresholds are established to support inventory turnover, fulfillment efficiency, and after-sales system stability

A4. Logistics, Warehousing & Fulfillment Policy

• Orders are fulfilled from European or U.S. warehouses

• Distributor purchase prices already include transportation costs

A7. Brand Materials & Content Usage Rules

• Brand materials are provided solely for authorized sales and promotional purposes

• Materials may not be used for unrelated purposes

• Redistribution, sublicensing, or secondary use is prohibited without prior authorization

• All brand materials are provided free of charge, with no additional fees imposed on distributors

The Brand evaluates and deepens cooperation based on the following factors:

• Commitment to brand image and end-customer experience

Subject to compliance with established rules, the Brand may gradually provide enhanced, cooperation-specific support, including but not limited to distributor tier adjustments, priority resource coordination, and other long-term partnership support measures.

The cooperation relationship will be subject to ongoing evaluation based on overall compatibility and performance.
If adjustments to the cooperation model become necessary, both parties will engage in professional and rational communication.
